Terms of Service
These Terms of Service ("Terms") govern access to and use of the Verifab platform. By creating an account or using the service, you agree to these Terms.
1. Parties
- Provider: [REGISTERED COMPANY NAME] ("Verifab", "we"), [ADDRESS], company no. [NUMBER].
- Customer: the business entity that registers an account ("you", "Customer"). Verifab is a business-to-business service; you confirm you are using it for business purposes.
2. Definitions
- Service — the Verifab web platform for creating, hosting, and managing Digital Product Passports and related supply-chain data.
- DPP / Passport — a Digital Product Passport record you create using the Service.
- ESPR — the EU Ecodesign for Sustainable Products Regulation and its delegated acts.
- Customer Data — data you or your users submit to the Service, including brand, product, passport, and supplier information.
3. The Service
Verifab provides tools to create and host Digital Product Passports, including (as available on your plan) data entry and enrichment, automated supplier-data collection, passport hosting and public passport pages, and white-label options. Features may change as the product evolves. We provide the Service on an "as available" basis and may add, modify, or deprecate features.
4. Accounts and eligibility
You must provide accurate account information, keep credentials secure, and are responsible for activity under your account. You are responsible for your authorised users' compliance with these Terms.
5. Subscriptions, plans, trials, and billing
- Plans. The Service is offered on subscription tiers as described at signup / on our pricing page. Features and limits (e.g. number of products/SKUs, white-label availability) depend on your selected plan.
- Free trial. Where offered, a free trial (currently 14 days, no card required at signup) lets you evaluate the Service. We may change or withdraw trials.
- Payment. Paid subscriptions are billed through Stripe (hosted checkout). By subscribing you authorise recurring charges for the plan and billing cycle (monthly or annual) you select, until cancelled. We do not store your full card details — payment data is handled by Stripe.
- Renewal & cancellation. Subscriptions renew automatically for the same cycle unless cancelled before renewal. You can cancel as described in-app; cancellation takes effect at the end of the current paid period. [CONFIRM refund policy — e.g. no pro-rata refunds except as required by law.]
- Taxes & price changes. Prices exclude applicable taxes unless stated. We may change prices on reasonable notice, effective at your next renewal.
6. Customer Data and intellectual property
- Your data. As between you and us, you own your Customer Data. You grant us a limited licence to host and process it solely to provide and support the Service.
- Our processing role. For personal data within Customer Data (e.g. supplier contacts), Verifab acts as your processor and you as controller; this processing is governed by our Privacy Policy and, where applicable, a Data Processing Agreement.
- Accuracy & responsibility for passport content. You are solely responsible for the accuracy, legality, and completeness of the Customer Data and passport content you publish, including any claims required or made under ESPR. Verifab provides tooling; we are not a certification body and do not guarantee regulatory compliance of your passports (see §8).
- Our IP. We retain all rights in the Service, software, and platform. No rights are granted except the right to use the Service under these Terms.
7. Acceptable use
You must not: use the Service unlawfully; upload content you have no right to use; attempt to breach security, access other tenants' data, or disrupt the Service; reverse-engineer the platform except as permitted by law; or use the Service to publish false or misleading product information.
8. Compliance disclaimer (ESPR / DPP)
The Service helps you produce Digital Product Passports, but you remain responsible for determining and meeting your own legal obligations under ESPR and any other law. Verifab does not provide legal advice and does not warrant that use of the Service, by itself, makes any product or passport compliant. [Legal to tailor this disclaimer.]
9. Third-party services
The Service relies on third-party providers (e.g. Supabase, Vercel, Stripe, Sentry, Plausible, Resend, Backblaze, and hosted workflow automation). Their availability is outside our control, and their own terms may apply to the parts of the Service they power.
10. Warranties and disclaimers
Except as expressly stated, the Service is provided "as is" and "as available", without warranties of any kind (including merchantability, fitness for a particular purpose, and non-infringement) to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free. [Confirm any statutory warranties that cannot be excluded.]
11. Limitation of liability
To the fullest extent permitted by law: neither party is liable for indirect, incidental, special, or consequential losses, or loss of profit, revenue, or data; and our total aggregate liability arising out of or relating to the Service is capped at [the amounts you paid in the 12 months before the claim / OTHER CAP — CONFIRM]. Nothing limits liability that cannot be limited by law (e.g. death or personal injury caused by negligence, or fraud). [Jurisdiction-specific — legal to finalise.]
12. Term, suspension, and termination
- These Terms apply while you use the Service. Either party may terminate as set out here.
- We may suspend or terminate for material breach, non-payment, or unlawful use.
- On termination: your right to use the Service ends. You may export your Customer Data before termination or within [PERIOD] after. Note: because of ESPR passport-retention obligations, certain passport data may need to remain available for the period the regulation requires even after your account closes; we will handle such data as described in the Privacy Policy. [Legal to confirm retention/export interaction.]
13. Indemnity
You will indemnify Verifab against third-party claims arising from your Customer Data, your published passports, or your breach of these Terms, to the extent permitted by law. [Confirm scope and any reciprocal indemnity.]
14. Changes
We may update these Terms; for material changes we will give reasonable notice. Continued use after changes take effect constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have [exclusive/non-exclusive] jurisdiction. [Legal to set; align with your entity's location.]
